These Terms and Conditions govern your access to and use of the Sri Lanka Licensing Round website at www.srilankalicensinground.com (the Website).

Please read these Terms carefully before using the Website.

1. About the Website

The Website provides information relating to petroleum exploration and licensing opportunities in Sri Lanka, including information concerning current or prospective licensing rounds, available acreage, petroleum data, regulatory information, announcements, documentation and related investment opportunities.

The Website is operated and managed by Frontier Communications Limited, trading as Frontier Energy Network (Frontier, we, us or our), in connection with the promotion of Sri Lanka's petroleum licensing opportunities.

Frontier Communications Limited is registered in England and Wales under company number 07089049, with its registered office at 17 Walkergate, Berwick-Upon-Tweed, Northumberland, TD15 1DJ, United Kingdom.

The relevant governmental and regulatory authority responsible for petroleum exploration and development in Sri Lanka is the Petroleum Development Authority of Sri Lanka (PDASL).

Unless expressly stated otherwise, Frontier acts in a marketing, communications, website management and promotional capacity and does not itself grant, award or regulate petroleum exploration or production rights in Sri Lanka.

3. Purpose of the Website

The Website is intended to provide general information about petroleum investment and licensing opportunities in Sri Lanka and to facilitate engagement between interested parties, Frontier and PDASL.

Information made available through the Website may include:

  • information about licensing rounds and available petroleum blocks;

  • maps and geological or geophysical information;

  • legislation, regulations and government policies;

  • announcements and licensing-round updates;

  • downloadable reports, presentations and documents;

  • information concerning data rooms and technical data;

  • forms through which interested parties may request information, arrange meetings or register their interest; and

  • links to information or services provided by PDASL or third parties.

Use of the Website does not constitute participation in, qualification for, or acceptance into any licensing round.

4. Licensing Round Documentation

Any formal licensing process is governed by the applicable legislation, regulations, notices, bid documents, requests for proposals, tender documents, guidelines and other official documentation issued or approved by the Government of Sri Lanka and/or PDASL (Official Licensing Documentation).

If there is any inconsistency between information appearing on this Website and the Official Licensing Documentation, the Official Licensing Documentation shall prevail.

Users considering participation in a licensing round are responsible for reviewing the complete Official Licensing Documentation and satisfying themselves as to all applicable requirements, deadlines, procedures and conditions.

Nothing published on this Website modifies, replaces or overrides any Official Licensing Documentation.

5. No Offer or Guarantee

Nothing contained on this Website constitutes an offer, invitation or contractual commitment by Frontier, PDASL or the Government of Sri Lanka to award any petroleum licence, exploration right, production right, contract or other interest.

Submitting an enquiry, registering interest, accessing information, attending a meeting, accessing a data room or providing information through the Website does not create any entitlement or priority in relation to a licensing round.

PDASL and/or the relevant Sri Lankan governmental authorities retain responsibility for the administration of the licensing process and any decision concerning qualification, evaluation, selection or award.

6. Accuracy of Information

Frontier takes reasonable care in preparing and maintaining information published on the Website.

However, information concerning petroleum exploration, geology, geophysics, reserves, resources, prospects, infrastructure, legislation, fiscal arrangements, licensing opportunities and future developments may be based on information supplied by governmental authorities, technical providers or other third parties.

Except where expressly stated otherwise, information on the Website is provided for general informational and promotional purposes.

We do not warrant that information on the Website is complete, accurate, current or free from error.

Information may be amended, supplemented, corrected or withdrawn at any time without notice.

Prospective applicants and investors must conduct their own technical, commercial, financial, legal, regulatory, environmental and other due diligence.

7. No Investment, Legal or Technical Advice

Nothing contained on the Website constitutes investment, financial, legal, tax, geological, engineering, environmental or other professional advice.

Information on the Website should not be relied upon as the sole basis for an investment decision, bid, application or other commercial decision.

You should obtain appropriate independent professional advice before making decisions concerning participation in a licensing round or investment in petroleum exploration or development activities in Sri Lanka.

8. Registration of Interest and Enquiries

The Website may allow you to submit information to:

  • register your interest in the licensing round;

  • request access to additional information;

  • request access to a data room;

  • arrange a call or meeting;

  • submit an enquiry; or

  • receive licensing-round communications and updates.

Submission of any such form does not guarantee that access, a meeting, documentation or any other request will be granted.

We and/or PDASL may contact you using the details you provide in order to respond to your enquiry, assess your request or provide information relating to the licensing round.

You are responsible for ensuring that information submitted through the Website is accurate and complete.

9. Data Room and Restricted Information

Certain information or documentation relating to the licensing round may only be available to authorised or approved users and may be subject to additional confidentiality agreements, data-room terms, non-disclosure agreements or other conditions.

Where additional terms apply to access to particular information or services, those terms shall apply in addition to these Terms.

In the event of a conflict, the specific terms governing access to restricted information or a data room shall prevail in relation to that information.

Access credentials must not be shared with unauthorised persons.

10. Intellectual Property

Unless otherwise indicated, intellectual property rights in the Website and its content are owned by or licensed to Frontier, PDASL, the Government of Sri Lanka or the relevant third-party content provider.

This may include text, graphics, photographs, maps, geological information, seismic information, reports, presentations, documents, logos, databases and other materials.

You may view and download publicly available materials for legitimate internal evaluation of the Sri Lanka licensing opportunity unless otherwise stated.

You must not, without appropriate permission:

  • reproduce or commercially exploit Website content;

  • redistribute restricted documents or technical data;

  • modify or create derivative works from protected material;

  • remove copyright, ownership or confidentiality notices;

  • make restricted information publicly available; or

  • use Website content in a manner that infringes the rights of Frontier, PDASL, the Government of Sri Lanka or any third party.

Separate restrictions may apply to geological, geophysical, seismic and other technical data.

11. Acceptable Use

You must not:

  • use the Website for unlawful or fraudulent purposes;

  • attempt to gain unauthorised access to restricted areas, accounts, systems or data;

  • interfere with the operation or security of the Website;

  • introduce viruses, malicious code or other harmful technology;

  • use information obtained through the Website in violation of applicable law or confidentiality obligations.

We may restrict or terminate access where we reasonably believe these Terms have been breached or where necessary to protect the Website, its users, Frontier, PDASL or associated systems and information.

The Website may contain information supplied by PDASL, government bodies, technical consultants, data providers and other third parties.

It may also contain links to external websites and resources.

Links are provided for convenience and informational purposes. Unless expressly stated otherwise, Frontier does not control third-party websites and is not responsible for their availability, security, accuracy, content or privacy practices.

Access to third-party websites is subject to the terms and policies applicable to those websites.

13. Website Availability

We aim to keep the Website available and functioning correctly but do not guarantee uninterrupted or error-free access.

We may suspend, withdraw, restrict or modify all or part of the Website where reasonably necessary for maintenance, security, operational or other purposes.

We will not be responsible for loss resulting solely from temporary unavailability of the Website, subject to applicable law.

Users participating in a formal licensing process should not rely exclusively on the availability of this Website for compliance with submission deadlines or other formal requirements.

14. Changes to the Licensing Round

Dates, blocks, procedures, requirements, documentation, meetings, deadlines and other aspects of a licensing round may be amended by PDASL and/or the relevant Sri Lankan governmental authorities.

Where reasonably practicable, updated information may be published on the Website.

However, prospective applicants remain responsible for checking the Official Licensing Documentation and official communications for current requirements.

15. Personal Information

Personal information submitted through the Website may be collected and processed for purposes connected with:

  • responding to enquiries;

  • managing expressions of interest;

  • facilitating communications with PDASL;

  • managing access to licensing-round information;

  • arranging meetings and calls;

  • providing licensing-round updates;

  • administering and securing the Website; and

  • analysing engagement with the licensing-round programme.

Information may be shared between Frontier and PDASL where reasonably necessary for these purposes.

16. Limitation of Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

To the fullest extent permitted by applicable law, Frontier shall not be liable for any loss or damage arising from reliance upon general information published on the Website or from decisions made on the basis of such information.

In particular, Frontier shall not be liable for:

  • investment losses;

  • loss of profits or anticipated profits;

  • loss of business or business opportunity;

  • loss arising from unsuccessful participation in a licensing round;

  • costs incurred in preparing or submitting an application or bid;

  • decisions made by PDASL or any governmental authority;

  • changes to or cancellation of a licensing round;

  • inaccuracies in information supplied to Frontier by third parties;

  • loss or corruption of data; or

  • indirect or consequential loss,

except to the extent that such liability cannot lawfully be excluded.

Frontier does not make or participate in the final governmental decision to award petroleum exploration or production rights and accepts no liability for decisions made by PDASL, the Government of Sri Lanka or other competent authorities.

17. Events Outside Our Control

We will not be responsible for failure or delay in operating the Website or providing Website-related services where caused by circumstances beyond our reasonable control, including failures of telecommunications networks, hosting infrastructure, governmental systems, cyber incidents, natural disasters, civil disturbance, changes in law or governmental action.

18. Changes to These Terms

We may amend these Terms from time to time to reflect changes to the Website, the licensing-round programme, applicable law or our operating arrangements.

The current version will be published on the Website together with its effective or last-updated date.

Your continued use of the Website following publication of revised Terms constitutes acceptance of those Terms to the extent permitted by applicable law.

19. Relationship with PDASL

The Website supports the promotion and communication of Sri Lanka's petroleum licensing opportunities.

Frontier provides marketing, communications, digital platform and related support in connection with the licensing-round programme.

PDASL remains the relevant Sri Lankan statutory authority responsible for matters within its legal and regulatory mandate.

Nothing in these Terms shall be interpreted as granting Frontier governmental, regulatory or licensing authority.

20. General

If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.

No person other than the parties to these Terms shall have any right to enforce them except where expressly provided.

21. Governing Law and Jurisdiction

These Terms and any dispute arising from or relating to the use of the Website shall be governed by the laws of England and Wales, except where mandatory applicable law requires otherwise.

The courts of England and Wales shall have jurisdiction in relation to disputes arising from these Terms, subject to any mandatory jurisdictional requirements that may apply.
